These Terms of Service ("Terms") are a contract between you and Gillespie Technologies Inc., doing business as RidgePoint Risk Advisory ("RidgePoint," "we," "us") governing your use of ridgepointrisk.com and the Services. By accessing the Site or Services you agree to these Terms. If you do not agree, do not use the Services.
If you are a paying customer, your signed Master Services Agreement and Order Form control. To the extent they conflict with these Terms, that signed agreement governs.
1. The Services
RidgePoint provides a vendor-risk management portal and related advisory content. Features, scope, and availability may change. Paid access is governed by a separate written agreement (MSA and Order Form); to the extent it conflicts with these Terms, that agreement controls.
2. Accounts and eligibility
You must be 18 or older and authorized to act for your organization. You are responsible for safeguarding credentials and for activity under your account. Notify us promptly of any unauthorized use.
3. Acceptable use
You agree not to:
- Use the Services unlawfully or to infringe others' rights.
- Reverse engineer, scrape, or circumvent security or rate limits.
- Upload malware or attempt to access data you are not authorized to access.
- Resell or provide the Services to third parties except as expressly permitted.
4. Customer data and content
You retain ownership of data you submit ("Customer Data"). You grant us a limited license to host and process Customer Data solely to provide the Services. Our handling of Customer Data is described in the Privacy Policy and, for customers, the Data Processing Agreement. You represent that you have the rights and consents needed to submit Customer Data, including vendor and contact information.
5. Vendor assessment links
Tokenized vendor assessment pages are provided for legitimate assessment use. You are responsible for distributing assessment invitations only to intended recipients.
6. Advisory content disclaimer
Risk scores, assessments, and advisory materials are decision-support tools. They are not legal, financial, or compliance advice, and they do not guarantee any outcome. You remain responsible for your own risk decisions.
7. Intellectual property
RidgePoint and its licensors own the Site, Services, software, and all related intellectual property. We grant you a limited, revocable, non-exclusive license to use the Services under these Terms. Feedback you give us may be used without obligation to you.
8. Fees
Free and trial features are provided as-is. Paid fees, billing, and renewal terms are set in your Order Form. Fees are non-refundable except as stated there.
9. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant the Services will be uninterrupted or error-free.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RIDGEPOINT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM.
11. Indemnification
You will indemnify RidgePoint against claims arising from your misuse of the Services or your violation of these Terms or applicable law.
12. Termination
We may suspend or terminate access for breach or risk to the Services. You may stop using the Services at any time. Sections that by their nature survive — intellectual property, disclaimers, limitation of liability, and indemnity — survive termination.
13. Governing law and disputes
These Terms are governed by the laws of the State of Ohio, without regard to its conflict-of-laws rules.
14. Changes
We may modify these Terms by posting an updated version with a new date. Continued use means acceptance.
